Fast format Fat32 disks more than 32 gigs in size. XP's formatting tool won't let you format anything larger than 32 gigs but this little tool will. Note that the 32GB limit is a limit of the formatter in Windows XP. FAT32 itself should be OK to 2TB,.....(free).....
